Diana Shipping continues divestment of Genco shares

Greek vessel owner Diana Shipping has further reduced its equity position in fellow dry‑bulk operator Genco Shipping & Trading, bringing the stake below the 10% threshold that triggers specific reporting obligations. The move follows a rapid unwind of the position that began after the collapse of Diana’s takeover proposal in mid‑August.

Latest transactions

According to a recent filing with the U.S. Securities and Exchange Commission, Diana sold an additional 275,000 Genco shares on 1 September at an average price of $26.02 per share, and on 2 September in two blocks of 75,000 shares each at $26.64 and $26.73 respectively. The total cash consideration for the three transactions was approximately $7.26 million.

After these sales, Diana’s holding stands at roughly 4.13 million Genco shares, representing about 9.5% of the company’s issued capital. Divestment timeline

The September sales constitute the fourth round of disposals since Diana withdrew its bid on 14 August. The recent activity follows:

  • 21 & 24 Aug: 1.2 million shares for just over $32 million (position reduced to 11.62%)
  • 25 Aug: 648,256 shares
  • 27‑28 Aug: 10,707 shares
  • 1‑2 Sept: 275,000 shares

In total, Diana has sold approximately 2.13 million Genco shares since abandoning the takeover, generating roughly $56.8 million in proceeds. Its ownership has fallen from about 6.26 million shares to 4.13 million in less than three weeks.

Market reaction and analyst view

SEB analysts observe that the sell‑down has begun to influence Genco’s relative share performance. Since the withdrawal of the bid, Genco’s stock has risen around 4%, lagging behind peers such as Star Bulk, CMB.TECH and Himalaya Shipping, which have posted gains between 8.5% and 9.7% over the same period. SEB cautions that the remaining 4.1 million‑share block could continue to exert downward pressure on Genco’s short‑term valuation if further disposals occur.

Background to the aborted takeover

Diana’s nine‑month acquisition campaign ended in August after the parties could not bridge a significant valuation gap. Diana cited a counter‑proposal from Genco amounting to $36.91 per share, while Genco disputed the characterization of the terms, leading to the termination of negotiations.

The ongoing share reduction underscores the challenges of M&A activity in the dry‑bulk sector, where market volatility and divergent valuation expectations frequently reshape ownership structures.
